Acceptance of Terms

By accessing or using the services provided by Weifang Guidi Information Technology Co., Ltd. (Guidis), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services. These terms apply to all users, visitors, and customers. Continued use of our services constitutes acceptance of any updates to these terms.

Description of Services

Guidis provides computer systems design and related services, including but not limited to systems architecture, software development, network design, and technology consulting. The specific scope of services will be defined in separate project agreements or orders. We reserve the right to modify or discontinue services with reasonable notice. All services are provided on an as-is basis subject to these terms.

Intellectual Property Rights

All intellectual property developed by Guidis in the course of providing services, including software code, designs, documentation, and methodologies, remains the property of Guidis unless otherwise agreed in writing. Upon full payment, clients receive a license to use deliverables for their intended purpose. Guidis retains the right to use general skills and knowledge gained. Clients retain ownership of their confidential information provided to us.

User Obligations

You agree to provide accurate and complete information necessary for the provision of services. You are responsible for maintaining the confidentiality of any access credentials and for all activities under your account. You must not use our services for any unlawful or unauthorized purpose. You agree to comply with all applicable laws and regulations. Any misuse of services may result in immediate termination.

Payment Terms

Fees for services are as agreed in the applicable project statement or invoice. Payments are due within 30 days of invoice date unless otherwise specified. Late payments may incur interest at 1.5% per month or the highest rate allowed by law. All fees are non-refundable except as expressly stated in a written agreement. Taxes are the responsibility of the client. We reserve the right to suspend services for non-payment.

Limitation of Liability

To the fullest extent permitted by law, Guidis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to these terms or the use of services. Our total liability for any claim shall not exceed the total fees paid by you for the specific service giving rise to the claim during the 12 months prior to the event.

Indemnification

You agree to indemnify, defend, and hold harmless Guidis, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of services, violation of these terms, or infringement of any third-party rights. This obligation survives termination of these terms. Guidis may assume exclusive defense of any matter subject to indemnification.

Termination

Either party may terminate these terms with written notice if the other party materially breaches and fails to cure within 30 days. Guidis may suspend or terminate services immediately for violation of law or non-payment. Upon termination, you must pay all amounts due. Sections regarding intellectual property, liability, indemnification, and governing law survive termination. Provisions that by their nature should survive will remain in effect.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of Weifang, Shandong Province. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting the revised terms on this page with an updated revision date. We will notify users of material changes via email or prominent notice on our website. Your continued use of services after changes constitutes acceptance. It is your responsibility to review these terms periodically.
